Terms of Service

1. Definitions

Provider – M-TELECOM S. de R.L., Beta Building, Oficina 6, Próspera ZEDE, St. John's Bay, Roatán, Islas de la Bahía, 34101, Honduras, a company providing services as listed on its websites, operating under the legal framework of Próspera ZEDE.

Client – A natural or legal person who accepts the public offer and agrees to the terms of this contract.

Services – Virtual private servers, hosting, server administration, software setup, software development, consultancy services, and other related services.

Account – A secure area on the Provider's website where the Client can access important legal and technical information, view account details, manage services, and raise support queries.

Balance – The Client’s financial account where all transactions related to the services are recorded, including payments and credits.

2. Subject of the Contract

2.1. The Provider agrees to supply services in accordance with these Terms and the information provided on its websites, under the legal framework of Próspera ZEDE.

2.2. The Client agrees to pay for the services in accordance with the tariffs and conditions specified on the Provider’s websites.

3. Conclusion of the Contract

3.1. This contract is a public offer made by the Provider, published on its websites, addressed to an unlimited number of potential Clients.

3.2. The Client enters into this contract by accepting the terms as a whole, without any conditions or reservations, by making payment for the services.

3.3. The contract is deemed concluded when the Client makes payment for the services.

4. Rights and Obligations of the Parties

Provider’s Rights and Obligations:

• 4.1. The Provider shall provide access to the Client’s account upon successful registration.
• 4.2. The Provider is responsible for providing services in a timely and professional manner.
• 4.3. The Provider may modify these Terms unilaterally and will notify the Client by publishing the updated Terms on its websites.
• 4.4. The Provider reserves the right to implement and enforce fair usage policies to maintain service quality.

Client’s Rights and Obligations:

• 4.5. The Client must use the services in compliance with these Terms and the legal framework of Próspera ZEDE.
• 4.6. The Client must pay for the services in accordance with the established tariffs and payment schedules.
• 4.7. The Client must ensure that their website and services do not violate any legal obligations or intellectual property rights.
• 4.8. The Client acknowledges that regular updates to the Provider’s software are essential for maintaining security and agrees to maintain compatibility with the latest versions of the software.

5. Payment for Services

• 5.1. The Client must pay for services in advance, according to the tariffs displayed on the Provider’s websites.
• 5.2. Payment is deemed completed once the funds are credited to the Provider’s designated payment system.
• 5.3. If the Client’s balance is insufficient to cover the cost of ongoing services, the Provider reserves the right to suspend the services until full payment is made.

6. Termination of the Contract

• 6.1. The Client may terminate this contract by providing written notice to the Provider at least 30 days in advance.
• 6.2. The Provider reserves the right to terminate this contract if the Client violates these Terms or applicable laws of Próspera ZEDE.

7. Liability

• 7.1. The Provider shall not be held liable for interruptions to services caused by technical issues, maintenance, or force majeure events, or due to the actions/inactions of the Client or third parties.
• 7.2. The Provider is not responsible for the accuracy or legality of content uploaded or shared by the Client.
• 7.3. The Client is responsible for any information they publish or distribute using the Provider’s services. The Client must ensure their use of the services complies with applicable laws of Próspera ZEDE.

8. Dispute Resolution

• 8.1. Any disputes arising under this contract shall first be attempted to be resolved through negotiation between the parties.
• 8.2. If a resolution cannot be reached through negotiation, the dispute shall be resolved in the courts or arbitration mechanisms provided by Próspera ZEDE.

9. Refund Policy

• 9.1. Funds that have been used to pay for services rendered are non-refundable.
• 9.2. The Client may request a refund of the unused balance remaining in their account.
• 9.3. To initiate a refund, the Client must submit a written request in free form, specifying the amount to be refunded and providing the necessary USDT TON wallet details for the transaction.
• 9.4. The refund request must be sent to the Provider’s registered legal address.
• 9.5. Refunds will only be processed after verification of the request and confirmation of the available balance.
• 9.6. The Provider reserves the right to refuse refund requests that are fraudulent, abusive, or violate the terms of service.
• 9.7. Refunds will be processed within 14 business days from the date of approval.
